Terms of Service

These Terms of Service ("Terms") govern your use of the CoSpace platform — our website, web application and mobile applications (the "Service") — operated by COSPACE REGTECH SDN. BHD. (Registration No. 202501054916 (1656322-P)) ("CoSpace", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

CoSpace provides a workspace connecting client companies with professional tax agents for accounting, audit, taxation and company-secretary services: engagement management, invoicing, document exchange, electronic signatures, and payment facilitation. CoSpace is a software platform — we are not an accounting or tax firm, and the professional services themselves are provided by the agents you appoint, under their own professional obligations.

2. Accounts and eligibility

• You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account.
• Company users must complete identity verification before accessing billing and document features.
• Agents must hold, and keep current, the professional licenses they register for each service type. Misrepresenting licensing is grounds for immediate termination.

3. Engagements between companies and agents

An engagement is formed when a company requests an agent for a service type and the agent accepts. The commercial terms of the professional work (scope, fees, deadlines) are between the company and the agent. CoSpace records the engagement, the documents exchanged, and the invoices issued under it.

4. Invoices and payments

• Invoices on the platform are issued by agents to their client companies. CoSpace itself is not a party to these invoices.
• Bank-transfer payments are marked as received only after verification of the uploaded receipt. Touch 'n Go payments are confirmed by the payment gateway.
• Payment disputes should first be raised with your counterparty; our support team can assist with platform records.

5. Electronic signatures

By saving a signature and setting a signing PIN, you authorise CoSpace to apply your signature to documents when you confirm a signing request with your PIN. You are responsible for keeping your PIN confidential. Signed documents and their signing records are retained as evidence of execution.

6. Acceptable use

• No unlawful, fraudulent or misleading use — including uploading falsified identity documents, licenses or payment receipts.
• No attempts to breach security, access other users' data, or interfere with the operation of the Service.
• No content that infringes the rights of others.

7. Fees

Core platform features are currently provided free of charge. Optional premium features (such as managing multiple companies under one account) may be offered as paid subscriptions; pricing is shown in the app before you subscribe. We will give reasonable notice of any changes to fees.

8. Availability and changes

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features with reasonable notice where practical.

9. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate accounts that breach these Terms. Upon termination, records that must be retained by law (e.g. billing records) may be kept for the required period.

10. Disclaimers and liability

The Service is provided "as is". To the maximum extent permitted by law, CoSpace is not liable for the professional advice or work product of agents, for disputes between companies and agents, or for indirect or consequential losses. Nothing in these Terms excludes liability that cannot be excluded under Malaysian law.

11. Governing law

These Terms are governed by the laws of Malaysia, and disputes are subject to the exclusive jurisdiction of the Malaysian courts.
